Acceptance of Terms
Welcome to ekelon.com (the "Site"), owned and operated by Ekelon ("Ekelon," "Company," "we," "us," or "our"), a Puerto Rico-based a marketing experience company with over 10 years of experience providing staging, lighting, furniture, custom branding materials, modular booths, graphic design and print, and technology and decor solutions for corporate events and brand activations. The Site provides information about Ekelon’s event production and related services and allows users to contact Ekelon, request a quote, and build a preliminary budget using the express quoting tool. By accessing or using the Site, you ("User" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, please do not use the Site.

Use of the Site
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, informational, and lawful purposes only, subject to these Terms. You agree not to:

Use the Site in any way that violates applicable local, state, federal, or international law or regulation;

Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without express written permission;

Attempt to gain unauthorized access to any portion of the Site or systems connected to it;

Use any automated system, including "bots" or "scrapers," to access the Site without our prior written consent.

Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, images, videos, project photography, and the express quoting tool interface, is the property of Ekelon or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in such content, except for the limited license expressly stated above.

Quote Requests and Express Quoting Tool
The Site offers an interactive express quoting tool ("Products") that lets you select predefined service bundles and add them to a request, which must be completed through the corresponding form in order to be submitted. This tool does not calculate prices or automatically generate any budget, estimate, or configuration, nor does it save your selections separately; it only organizes the bundles you choose as part of the request sent to Ekelon. Information submitted through this form is recorded in Wix, the platform that hosts the Site and its native forms. Selections made through this tool do not constitute a binding quote, invoice, offer, or contract. A binding quote, proposal, or agreement will be issued directly by Ekelon only after our sales team prepares the corresponding quote based on your request, and following its subsequent written confirmation. Availability, pricing, and specifications for staging, lighting, furniture, branding materials, modular booths, and related services are subject to change and to a separate service agreement between Ekelon and the client.

Submitting a contact form, quote request, or information through the express quoting tool does not create a contract, reservation, or obligation for Ekelon to provide services. A project will only be confirmed after Ekelon issues the applicable proposal or agreement and any required acceptance, payment, or deposit is received.

Prohibited Conduct
In addition to Section 2, you agree not to submit false or misleading information through the Contact Us or Request a Quote forms, impersonate any person or entity, harass or harm other users, or interfere with the proper functioning of the Site or the express quoting tool.

Third-Party Services and Links
The Site may rely on third-party platforms and service providers for hosting, functionality, security, and other technical services. Your use of certain third-party services may also be subject to their own terms and privacy policies.

Disclaimer of Warranties
The Site and its content, including the express quoting tool, are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any preliminary budget generated through the quoting tool will match the final quote issued by Ekelon.

Limitation of Liabilities
To the fullest extent permitted by law, Ekelon, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Site or the express quoting tool. This Section does not limit or affect the terms of any separate written service agreement or proposal executed between Ekelon and a client for event production services.

Indemnification
You agree to indemnify, defend, and hold harmless Ekelon and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Site or your violation of these Terms.

Government Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable United States federal law, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Juan, Puerto Rico.

Changes of Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with a revised effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Termination
We may suspend or restrict access to the Site when reasonably necessary to address a violation of these Terms, protect the Site or its users, comply with legal obligations, or maintain the Site’s security and operation.
